Business Names Registration
Business names registration is a vital step towards establishing a legal entity for entrepreneurs and small business owners. A business name is a straightforward and flexible form of business ownership that plays a crucial role in enhancing the credibility of a business. It refers to a structure where a person owns and operates the business, assuming personal responsibility for its debts and obligations. This article aims to guide aspiring entrepreneurs through the process of registering business names in Kenya, highlighting the necessary steps, requirements, and benefits.
Choose a Suitable Business Name
The first step in registering a business name is selecting a unique and appropriate name for your venture. When choosing a name, it is important to consider the guidelines set by the Registrar of Companies. The Registrar requires that you provide three proposed names for your business. This ensures that there are alternatives in case your first choice is already registered or infringes upon existing trademarks.
Name Search
Conduct a search through e-citizen online portal to ensure that your chosen names are available and comply with the regulations. Names should be provided in order of PRIORITY, and the three are mandatory, but you can propose additional two names for consideration. It is worth noting that if the first name on the list is available, it will be automatically assigned to the business. However, if it is not available, the Registrar of Companies will move down the list, considering the second and subsequent names until an available option is found. Therefore, providing additional name options ensures that there are alternatives ready in case the first choice is already taken.
Complete the Business Name Registration Form
Fill out the Business Name Registration Form (BN/2) provided by the Registrar of Companies. The form requires basic information such as the proposed business name, physical address, nature of the business, and details of the owner(s). Submit the completed form along with the prescribed registration fee.
Obtain the Certificate of Registration
After submitting the form and paying the registration fee, the Registrar of Companies will process your application. Once approved, you will receive a Certificate of Registration within a few days through e-citizen online portal. This certificate serves as legal proof of your registered business name.
